Various Contracts

The following information regarding various research contracts at the Shinanomachi Campus is provided for researchers at the Keio University School of Medicine and external organizations (companies, etc.). Please note that procedures differ for 1. Basic Research Contracts/Other Contracts and 2. Clinical Research Contracts (*). (Please also be sure to check "3. Overhead (General Administrative Expenses)" on this page.)

*Research that requires application to an ethics committee in accordance with the "Ethical Guidelines for Medical and Health Research Involving Human Subjects," the "Clinical Research Act," etc.

1. Basic Research Contracts and Other Contracts

STEP 1

Please organize the necessary details between the Keio University researcher (person in charge) and the person in charge at the external organization (company, etc.).

  • Identification of contract type

  • Research funds

  • Contract period, etc.

STEP 2

Download the necessary contract template and application form, and reflect the details organized in STEP 1 into the template.

STEP 3

Please request a content review from the legal department of the external organization (company, etc.).

*Please ensure that the track changes in the Word document of the contract are kept while working.

STEP 4

Please contact the Research Contract person at the Office of Research Development and Sponsored Projects via email regarding the draft contract and draft application form.

◆ Types of Contracts, Templates, and Application Forms

Downloading contract templates and application forms is restricted to the within Keio domain.

Joint Research Agreement

This is a contract for cases where Keio University and an external organization (company, etc.) share duties to jointly conduct research on a specific research topic. (Cases where both contracting parties perform research duties.)

Note that separate templates are available for cases where joint researchers from external organizations (companies, etc.) are accepted at Keio University, cases where the external organization is an educational/research institution, or cases involving tripartite agreements. In such cases, please contact us first.

Sponsored Research Agreement

This is a contract for cases where an external organization (company, etc.) requests Keio University to perform research duties on a specific research topic, and Keio University accepts and performs those duties.

(Cases where only Keio University performs research duties.)

Non-Disclosure Agreement (NDA)

This is a contract for cases where the disclosure of confidential information is necessary when conducting some form of review between a Keio University researcher (person in charge) and a person in charge at an external organization (company, etc.).

(Standard) MTA

This is the standard contract for providing samples or information from Keio University to an external organization.

(When Keio University receives samples, etc., from an external organization, the review is usually based on the draft contract from the providing organization. Therefore, please first have the providing organization present a draft contract and send it to the Research Contract email address.)

(Biological Materials/Academia) MTA

This is a limited contract for providing biological materials (biomaterials), etc., from Keio University to academia.

*There are conditions for using this contract. Please refer to the [PDF].

(When Keio University receives biological materials, etc., from an external organization (academia, company, etc.), the review is usually based on the draft contract from the providing organization. Therefore, please first have the providing organization present a draft contract and send it to the Research Contract email address.)

Service Agreement

This is a contract for cases where an external organization (company, etc.) requests specific duties or tasks (such as data analysis) and Keio University accepts them.

Academic Consulting Agreement / Technical Guidance Agreement

This is a contract for cases where a Keio University researcher provides technical guidance or advice based on academic and technical expertise upon request from an external organization (company, etc.).

2. Clinical Research Contracts

STEP 1

Please organize the necessary details between the Keio University researcher (person in charge) and the person in charge at the external organization (company, etc.).

STEP 2

For clinical research, the contract template differs depending on the type of clinical research. Therefore, please first contact the Clinical Research Contract person at the Office of Research Development and Sponsored Projects via email regarding the outline of the clinical research (including the status of the ethics review application).

Clinical Research Agreement

This is a contract for cases where Keio University and an external organization (company, etc.) share duties to jointly conduct research on a specific research topic. (Cases where both contracting parties perform research duties.)

This is a contract for cases where the disclosure of confidential information is necessary when conducting some form of review between a Keio University researcher (person in charge) and a person in charge at an external organization (company, etc.).

3. Overhead (General Administrative Expenses)

General administrative expenses are collected when accepting external research funds (joint research funds, sponsored research funds, clinical research funds, service fees, technical guidance fees, academic consulting fees, and costs related to investigator-initiated clinical trials, etc., mentioned above).

General administrative expenses are established for the purpose of covering necessary expenses related to research promotion other than direct costs incurred when researchers conduct research using external research funds. They are allocated to the preparation, improvement, maintenance, and management of the research environment, personnel costs, utility costs, etc.

〇 Collection rate for general administrative expenses

30% or more of direct costs (expenses directly required for the execution of research, etc.) added externally.

Calculation method for general administrative expenses (fractions of less than 1 yen are rounded down)

Example 1: If the payment amount is 10,000,000 yen (including consumption tax) in a lump sum: Total amount ÷ 1.3 × 0.3 = General administrative expenses

Payment amount: 10,000,000 yen, Direct costs: 7,692,308 yen, General administrative expenses: 2,307,692 yen

Example 2: If the direct costs are 10,000,000 yen (including consumption tax) in a lump sum: Direct costs × 1.3 = Payment amount

Payment amount: 13,000,000 yen, Direct costs: 10,000,000 yen, General administrative expenses: 3,000,000 yen
